2. DEVELOPMENT AGREEMENT NO. 2025-0001 BY AND BETWEEN THE CITY OF\nNORWALK, CALIFORNIA AND LEWIS LAND DEVELOPERS, LLC. FOR THE\nDEVELOPMENT OF THE NORWALK TRANSIT VILLAGE SPECIFIC PLAN AREA LOCATED\nAT 13200 BLOOMFIELD AVENUE.\nStaff Recommendation: That the Planning Commission:\na) Adopt Resolution No. 25-02 recommending City Council adopt an Ordinance approving\nDevelopment Agreement No. 2025-0001 by and between the City of Norwalk, California and\nLewis Land Developers; and\nb) Find the following:\n1. None of the conditions requiring a subsequent or supplemental EIR under CEQA\nGuidelines Sections 15162 and 15163 have occurred;\n2. Development Agreement No. 2025-0001 is within the envelope of the FEIR prepared for\nthe Norwalk Transit Village Specific Plan Project and no further environmental review is\nrequired; and

Adoption of Resolution No. 25-02 is exempt from the CEQA pursuant to the “Common\nSense” exemption set forth under Section 15061(b)(3).\nPlanning Commission Action: Approved staff’s recommendation by a vote of 5-0.\nORAL COMMUNICATIONS\nJoseph Edwards, Lewis Management Corporation, Project Manager for the Norwalk Transit Village\nSpecific Plan Project, stated that he was glad to hear that the Planning Commissioners are excited\nabout this project; and that they have been working closely with staff to get to this point.\nAlex Hamilton, Interim Director of Community Development, provided the Commission with\ninformation on upcoming projects.

4. Conflict or Inconsistencies. In the event of any conflicts or inconsistencies\nbetween the provisions of this First Amendment and those of the Exchange Agreement, the\nprovisions of this First Amendment shall control.

5. Construction of Amendment. This First Amendment has been reviewed and\nrevised by legal counsel for both Lofts LP and City, and no presumption or rule that ambiguities\nshall be construed against the drafting Party shall apply to the interpretation or enforcement of\nthis First Amendment.

6. Entire Agreement. This First Amendment constitutes the entire understanding\nand agreement of the Parties and supersedes all negotiations or previous agreements between\nthe Parties with respect to all or any part of the subject matter hereof. The Recitals are\nincorporated by reference into this First Amendment.

7. Counterparts. This First Amendment may be executed by each Party on a\nseparate signature page, and when the executed signature pages are combined, shall constitute\none single instrument.

RESOLUTION NO. 25-13 - APPROVING THE FIRST AMENDMENT TO EXCHANGE AGREEMENT AND\nJOINT ESCROW INSTRUCTIONS FOR 12124 FIRESTONE BOULEVARD\nStaff recommends City Council:\na. adopt Resolution No. 25-13, A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF\nNORWALK APPROVING THE FIRST AMENDMENT TO THE EXCHANGE AGREEMENT\nAND JOINT ESCROW INSTRUCTIONS BY AND BETWEEN THE CITY OF NORWALK\nAND FIRESTONE LOFTS, LP; and\nb. finding this action to be exempt under California Environmental Quality Act (CEQA)\npursuant to CEQA Guidelines Section 15061(b)(3) and none of the exceptions to the\nCategorical Exceptions under CEQA Guidelines Section 15300.2 apply; and\nc. approving the First Amendment to the Exchange Agreement by and between the City of\nNorwalk and Firestone Lofts, LP; and authorizing the City Manager to prepare, execute, or\nrecord (cause to be recorded) the First Amendment and any other ancillary documents, in\na form approved by the City Attorney, that are reasonably necessary to effectuate the\nintent of the Resolution.\nORAL COMMUNICATIONS
