19. Document Imaging Services Contract\nRecommendation: Approve and authorize the Executive Director of the\nInformation Systems Advisory Board to finalize and execute a contract with\nSourceCorp BPS Inc., for document imaging services for a period of six years\nand up to four one-year extension options, for a total contract amount of\n$25,000,000 for the 10-year term; and authorize the Executive Director to take\nthe following actions: APPROVE\nDuring the term of the contract, execute change notices to the contract\nwhich do not affect the scope or work, amount of payments, or any other\nterm or condition included under the contract, and if necessary,\nterminate contracts for convenience;\nDuring the term of the contract, execute amendments to the contract that\nelect to extend the term of the contract for an extended term, do not\nmaterially affect the scope of work, amount of payments, or any term or\ncondition included in the contract, provide written consent to an\nassignment or delegation under Paragraph 8.2 (Assignment and\nDelegation/Mergers or Acquisitions) of the contract, approve and make\nnecessary changes to the scope of services to comply with the County’s\nProtection of Electronic County Information, implement a reduction\npursuant to Paragraph 8.4 (Budget Reductions) of the contract, and/or\nimplement orders from the Board or Chief Executive Officer to add or\nchange terms and conditions in the contract; and\nDuring the extended term, increase the rates for services up to 10% per\nyear from the previous year and increase the contract amount by no\nmore than 10%.
