31. Data Management Services Sole Source Contract Amendment\nRecommendation: Approve and authorize the Director of Public Health to\nexecute a sole source contract amendment with Automated Case Management\nSystems, Inc., for the provision of Data Management services for various\nHIV/STD services contracts, to extend the term for 12 months, at an annual\nmaximum obligation of $660,000, effective March 1, 2023 through February 29,\n2024, with a one-year extension option through February 28, 2025, contingent\nupon performance and the availability of funding, and exercised through written\nnotification from the Director to the contractor prior to the end of the contract\nterm, 100% offset by Health Resources and Services Administration Ryan\nWhite Program Part A funds; and authorize the Director to take the following\nrelated actions: (Department of Public Health) APPROVE (NOTE: The Acting\nChief Information Officer recommends approval of this item.)\nExecute amendments to the contact that allow a no-cost adjustment\nthrough August 31, 2025, allow the rollover of unspent contract funds as\nallowed by the grant, provide an increase or decrease in funding up to\n10% above or below each term’s annual base maximum obligation,\neffective upon amendment execution, and make corresponding service\nadjustments, as necessary;\nExecute change notices to the contracts that authorize modifications to\nthe budget or within budget categories, and make corresponding service\nadjustments, as necessary, changes to hours of operation and/or service\ndelivery locations, and/or corrections of errors in the contract’s terms\nand conditions; and\nImmediately suspend the contract upon issuing written notice to the\ncontractor who fails to perform and/or fully comply with program\nrequirements, terminate contracts for convenience by providing a\n30-calendar day advance written notice to the contractor, and accept a\nvoluntary contract termination notice from the contractor, if necessary.\n(23-0509)\nAttachments: Board Letter\nPublic Comment/Correspondence
