22. Enterprise Services Master Agreements\nRecommendation: Authorize the Director of Internal Services to execute\nEnterprise Services Master Agreements (ESMAs), with various qualified\nvendors to provide Information Technology services, for a five-year term, with\ntwo two-year and six month-to-month extension options, for a total master\nagreement term of nine years and six months; and authorize the Director to\ntake the following related actions: (Internal Services Department) APPROVE\n(NOTE: The Acting Chief Information Officer recommends approval of this\nitem.)\nExecute ESMAs with new vendors as vendors become qualified vendors\nthroughout the term of the ESMA, exercise the renewal extension options,\nconduct solicitations and execute Work Orders (WOs), amend or\nterminate WOs as necessary, extend applicable ESMAs automatically\nbeyond their term where a WO for a critical project is issued with an\nexpiration date of no more than 180 days past the expiration of such\nESMA, suspend or terminate Master Agreements (MA) for the\nadministrative convenience (e.g., non-performance related issues, etc.),\nexecute applicable MA amendments should the original contracting entity\nmerge, be acquired, or otherwise have a change in entity, make changes\nto the terms and conditions to align with Board policy changes/directives,\nadd/or replace applicable exhibits of the ESMA, and add or delete\nservice categories and/or exhibits to ESMA as they become necessary;\nExecute a Business Associate Agreement (BAA) to the ESMA when a\nWO requires the execution of a BAA;\nPursuant to the terms of the ESMA, amend to add privacy and security\nprovisions, amend to increase the indemnification, limitation of liability,\nand/or insurance clauses of the ESMA in WO solicitations and the\nresulting WO where a County Department and/or the Acting Chief\nInformation Officer consider such actions to be in the best interest of the\nCounty in light of the services being solicited, with all such amendments\nsubject to review and approval by the Interim County Counsel and the\nChief Executive Officer’s Risk Management Division; and\nApprove the transfer of 24 WOs from the current ESMA 2016, to the new\nESMA 2022, and execute a new WO under the new ESMA 2022 for\nopen WOs solicited under the current ESMA 2016.
