37. AMENDMENT TO THE AGREEMENT WITH THE ALHAMBRA HISTORICAL SOCIETY,\nREVISION TO THE BY-LAWS, AND AN AMENDMENT TO THE ARTICLES OF\nINCORPORATION – F86-191, F2M21-54, M2M26-108\nOn September 28, 1992, the City Council adopted Resolution No. R-92-46 and entered\ninto Agreement No. 92-2181382 with the Alhambra Historical Society concerning the\nmuseum operated by the Society on City-owned real property located at Burke Heritage\nPark. In 2024, the Society received the historic Story House, located at 502 N. Story Place,\nas a donation. The Society is seeking a property tax exemption for the Story House. As\npart of that process, the California State Board of Equalization requires the Society's\ngoverning documents to include provisions dedicating its assets to charitable purposes\nand specifying the distribution of assets upon dissolution. To meet these requirements\nwhile preserving the City's interest in the Museum collection and assets associated with\nthe Museum, the City and the Society propose amending Paragraph 4 of the Agreement.\nParagraph 7 of the Agreement provides that amendments must be approved in writing by\nboth parties and recorded with the Los Angeles County Recorder.\nRecommended Action: City Council approve the First Amendment to the Agreement\nwith the Alhambra Historical Society, revisions to the Bylaws, and an amendment to the\nArticles of Incorporation; and, direct staff to undertake the steps necessary to finalize the\nCouncil’s actions.
