6. Extension of Time for Completion of Topgolf Sublease Assignment and\nLeaseback Transaction with Corresponding Second Amendment to Master\nLease Agreement and First Amendment to Memorandum of Lease\nRecommendation -\n1. Approve the proposed two-month extension for the assignment of\nTopgolf USA El Segundo, LLC’s sublease to 42 Real Estate, LLC and\ncorresponding leaseback of the interest from 42 Real Estate, LLC to\nTopgolf USA El Segundo, LLC subject to, and contingent upon the\nexecution of, the attached Acknowledgment of Lease Terms and\nGuarantor Acknowledgment of Guaranty.\n5\n2. Authorize the Mayor to execute (i) the Second Amendment to the Due\nDiligence and Recreation Ground Lease Agreement between the City of\nEl Segundo and Centercal LLC, (ii) the corresponding First Amendment\nto Memorandum of Lease, and (iii) the Estoppel Certificate and Consent,\nall conditioned on the assignment of the sublease occurring on or before\nJune 30, 2023. The documents must be in a form substantially similar to\nthe drafts attached to the Council Agenda Report and approved by the\nCity Attorney.\n3. Alternatively, discuss and take other possible action related to this item.
