42. Helicopter Maintenance, Engineering and Repair Services\nRecommendation: Approve a Model Master Agreement (Model Agreement) that\nwill be used to execute Master Agreements (Agreements) with qualified vendors\nto provide as-needed helicopter maintenance, engineering, and repair services\nfor the Department’s Aero Bureau for the term of December 7, 2023 through\nDecember 6, 2026, with four one-year extension options, for a total term not to\nexceed seven years; authorize the Sheriff to execute Agreements substantially\nsimilar to the Model Agreement with qualified vendors, commencing December\n7, 2023, or upon execution by the Sheriff, whichever is later, to meet the needs\nof the Department; and authorize the Sheriff to execute amendments and\nchange notices to the Agreements as set forth throughout the Model Agreement,\nto effectuate modifications which do not materially affect any term of the\nAgreements, add new or revised standard County contract provisions adopted\nby the Board as required periodically, exercise option terms, effectuate the\nassignment and delegation/mergers or acquisitions provision, and terminate\nAgreements, either in whole or in part, by the provision of a ten-day written\nnotice.
