E2LosAngeles System and Related Services Sole Source Agreement\nRecommendation: Approve and authorize the Director of Public Health to\nexecute a sole source agreement with RDE Systems Support Group, LLC\n(RDE) for the provision of e2LosAngeles System (e2LAS) and related services\nto support client services data collection and reporting for various HIV/STD\nservices contracts, effective upon execution, for an initial term of five years,\nwith up to five one-year extension periods or for a single five-year period, with a\nMaximum Agreement Amount (MAA) not to exceed $11,083,913 for the entire\nterm, including the extension options, of the $11,083,913 in the current MAA,\n$1,007,628 is for Pool Dollars, $2,113,000 is for one-time implementation fees,\nwhereas $7,963,285 is for subscription fees to use the system following\nsuccessful acceptance; and authorize the Director to take the following actions:\n(Department of Public Health) APPROVE (Note: The Chief Information\nOfficer recommends approval of this item.)\nApprove and execute change notices to the agreement for changes to\nproject schedule, changes that are clerical or administrative in nature\nand/or do not affect any term or condition to the agreement, and change\norders or amendments that require additional costs or expenses using\nPool Dollars to acquire optional work, provided the amounts payable\nunder such change orders or amendments do not exceed the available\namount of Pool Dollars; and\nIssue written notice(s) of partial or total termination of the agreement for\nconvenience without further action by the Board, and execute\namendments to the agreement to make changes to the scope of work,\nadd, delete, and/or change certain terms and conditions as mandated by\nFederal or State law or regulation, County policy, and/or the Board,\nreallocate the components comprising the MAA, reduce the services and\nthe MAA, extend the term of the agreement by exercising the extension\noptions in the agreement, assign and delegate the agreement, resulting\nfrom acquisitions, mergers, or other changes in ownership, approve Cost\nof Living Adjustments (COLAs) requested by RDE for the extension\noptions, at the Director’s discretion, limited to the fixed hourly rates for\nprofessional services, with any such COLAs, consistent with the Board’s\nCOLA policy.
