10. Topgolf Sublease Assignment and Leaseback, Lease Memorandum First\nAmendment, and Lease Agreement Second Amendment\nRecommendation -\n1. Approve the proposed assignment of Topgolf USA El Segundo, LLC’s\nsublease to 42 Real Estate, LLC and corresponding leaseback of the\ninterest from 42 Real Estate, LLC to Topgolf USA El Segundo, LLC\nsubject to, and contingent upon the execution of the attached\nAcknowledgment of Lease Terms and Guarantor Acknowledgment of\nGuaranty.\n2. Authorize the Mayor to execute the Second Amendment to the Due\nDiligence and Recreation Ground Lease Agreement between the City\nand Centercal LLC, together with the corresponding First Amendment to\nMemorandum of Lease, so long as the sublease assignment occurs by\nMay 1, 2023 and the documents are in a form substantially similar to the\ndrafts attached to this report and approved by the City Attorney.\n3. Alternatively, discuss and take other action related to this item.
