12. CONSIDERATION TO APPROVE A LICENSING AND PROFESSIONAL SERVICES\nAGREEMENT WITH SPRINGBROOK HOLDING COMPANY, LLC TO UPGRADE AND\nMIGRATE FINANCIAL AND HUMAN RESOURCE SOFTWARE TO A CLOUD-BASED\nPLATFORM\nRecommendation\nIt is recommended that the City Council:\n1. Authorize staff to enter into a licensing agreement with Springbrook Holding\nCompany, LLC to upgrade to the Cloud-based version of the Finance, Human\nResource, Payroll, Budget and related modules (Attachments 1 and 2) in an annual\namount not-to-exceed $71,400;\n2. Authorize staff to enter into a professional services agreement with Springbrook\nHolding Company, LLC to provide software engineering, migration, implementation\nand training services for a one-time amount not-to-exceed $40,000 in the form\napproved by the City Attorney and City Manager; and\n3. Authorize the City Manager, or designee, to approve up to $6,000 (15%) in\ncontingency funds for Springbrook Holding Company, LLC and/or Acorn IT Services\nto implement and support the migration effort.
