31.\nE-Procurement System and Related Implementation and Support Services\nContract\nRecommendation: Authorize the Director of the Internal Services to award and\nexecute a contract with Ivalua, Inc. to provide a contractor-hosted\ne-Procurement software as a service system and related implementation and\nsupport services for the County, for an initial term of five-years, commencing\nupon execution, with five one-year extension options, for a maximum total\ncontract term of ten years at a total maximum contract amount of $38,359,556\nfor the ten-year term, if all option years are exercised. Authorize the Director to\ntake the following actions: (Internal Services Department) APPROVE\n4-VOTES (NOTE: The Chief Information Officer recommends approval of this\nitem.)\nExercise the extension options in accordance with the recommended\ncontract. Execute applicable amendments to the contract to make\nnecessary changes which affect the project schedule, statement of work\nto add/delete services and/or features and functionality to existing\nservices as they become necessary to meet the County’s needs, and/or\nrevise the terms and conditions to align with Board policy changes and\ndirectives. Execute change orders to the contract for additional costs\nusing Pool Dollars which are included in the maximum contract amount to\nacquire optional work, provided the amounts payable under such change\norders or amendments do not exceed the available amount of Pool\nDollars. Execute applicable contract amendments should the original\ncontracting entity merge, be acquired, or otherwise have a change of\nentity.\nApprove an appropriation adjustment to use $8,790,000 from the\nobligated fund balance Committed for Information Technology (IT)\nEnhancements, commonly known as the County’s IT Legacy\nModernization Fund to fund Fiscal Year 2025-26 year-one contract\nimplementation costs.
