8. Approve a Professional Services Agreement (Agreement) with Spatial Wave, Inc., in an annual\ntotal amount not to exceed $75,000 with a 10% contingency, to upgrade software used for real-\ntime water infrastructure maps, water outage notification and trace tool capabilities, related\nsupport and maintenance, additional software licenses, and as-needed professional services for a\none year term with automatic annual renewals thereafter; approve a License Agreement\n(License) with Spatial Wave, Inc. which provides the scope of use for the software, data, web\nservices, and documentation; and authorize the Public Utilities General Manager, or designees,\nto execute and deliver the Agreement, License, order forms, work orders, change orders, and\nrelated documents, and take the necessary, required, or advisable actions to implement, fund,\nand administer the Agreement and License.
