40. Restrictive Covenant Modification Program Services Contract\nRecommendation: Approve a contract with Extract Systems to provide\nRestrictive Covenant Modification Program Services, for an initial period of five\nyears with two additional one-year and six month-to-month extension options for\na total maximum contract term of seven years and six months, and a total\ncontract amount of $7,837,395.22, which includes both the initial term and all\noptional terms; and authorize the Registrar-Recorder/County Clerk to take the\nfollowing actions: (Registrar-Recorder/County Clerk) APPROVE (NOTE: The\nActing Chief Information Officer recommends approval of this item.)\nPrepare and execute future amendments to extend the initial five-year\ncontract for two one-year options and six month-to-month extension\noptions;\nPrepare and execute future amendments to the contract, as needed to\nreflect changes resulting from new legislation or changes to County\nPolicy terms and conditions, reflect changes in State and County\nlegislation, or modify the statement of work to meet operational needs\nbased on County Counsel advisement; and\nExecute changes to the estimated contract amount up to an additional\n10%, or $783,739.52 of the maximum contract amount, to account for\nany unforeseen increases, and terminate the contract, if necessary.\n(23-4436)\nFamily and Social Services
