17. RESOLUTION NO. - Issuance and Sale of Department of Airports of the City of Los\nAngeles, California, Los Angeles International Airport, Subordinate Refunding Revenue Bonds\n2023 Series A and B: In an aggregate principal amount not to exceed $350,000,000, and\ndocuments related to the aforementioned actions and certain other related matters and actions\nPURPOSE: Staff requests that the Board of Airport Commissioners approve the documents and\nactions associated with issuance of Department of Airports of the City of Los Angeles,\nCalifornia, Los Angeles International Airport, Subordinate Refunding Revenue Bonds, 2023\nSeries A and 2023 Series B in an aggregate principal amount not to exceed $350,000,000.\nRECOMMENDATIONS: Adoption of the Report requesting that the Board of Airport\nCommissioners determine that this action is exempt from the California Environmental Quality\nAct (CEQA) pursuant to Article II, Section 2.f of the Los Angeles City CEQA Guidelines;\napprove the Twenty-Fourth Supplemental Subordinate Trust Indenture, Bond Purchase\nhttps://mail-attachment.googleusercontent.com/attachment/u/0/?ui=2&ik=e70a2d67c1&attid=0.1&permmsgid=msg-f:1757736153437473510&th=1864bbb7fa808… 11/14\n2/13/23, 1:16 PM https://mail-attachment.googleusercontent.com/attachment/u/0/?ui=2&ik=e70a2d67c1&attid=0.1&permmsgid=msg-f:1757736153437473510&t…\nAgreement, Escrow Agreements, Continuing Disclosure Certificate, and Preliminary and Final\nOfficial Statement; authorize staff to take all required actions to complete the transactions and\npayment of transaction costs from the proceeds of the revenue bonds, including, but not limited\nto underwriter's discount, bond insurance premiums (if any), rating agency fees, bond counsel\nfees, disclosure counsel fees, financial/municipal advisor fees, feasibility consultant fees, Green\nBond second party opinion provider fees, verification agent fees, and trustee fees; further adopt\nthe Resolution attached to the staff report; and further authorize and designate the Los Angeles\nWorld Airports Chief Executive Officer, Chief Financial Officer, and Director of Finance,\nincluding any person serving in an acting or interim capacity or any written designee of the\nChief Executive Officer to execute and deliver any and all documents, certificates, and other\ninstruments, and to take any and all actions which they deem necessary or advisable in order to\nprovide for issuance, sale, and delivery of the Subordinate Series 2023 A and B Bonds,\nincluding designating the Subordinate Series 2023 A Bonds as "Green Bonds," after approval as\nto form by the City Attorney.
