42. Dispatch Console System Maintenance and Support Services Sole Source\nContract\nRecommendation: Acting as the Governing Body of the Consolidated Fire\nProtection District (District), approve and instruct the Fire Chief to execute a\nsole source contract between the District and Zetron Inc. (Zetron), for the\ncontinued provision of maintenance and support services for the District’s\ndispatch console and console switch interface systems, for an initial term of five\nyears, and two one-year extension options, for a maximum contract term of\nseven years, effective August 1, 2024; authorize the maximum contract amount\nof $5,582,559.50, including the initial contract term of five-years and extension\noptions, with a maximum contract amount comprised of a base contract\naggregate amount of $3,690,754.19, Pool Dollars with an aggregate amount of\n$369,075.42, and a hardware refresh in the amount of $1,522,729.89;\nauthorize the Fire Chief to execute amendments and change notices,\nsuspensions, or termination if deemed necessary, and in accordance with the\napproved contract terms and conditions in order to effectuate modifications,\nexercise extension options, add new or revised standard County contract\nprovisions adopted by the Board, as periodically required, effectuate the\nassignment and delegation/mergers or acquisitions provision, engage Zetron to\nprovide optional work (e.g., programming modifications, professional services,\nand acquire relevant additional hardware and software), as required by the\nCounty, using available Pool Dollars, with concurrence of the Chief Information\nOfficer, and terminate the contract, either in whole or in part, by the provision of\na 30-day written notice; and find that this contract is exempt from the California\nEnvironmental Quality Act.
