2-D. Internet-Based Housing Database Website Services Contract Recommendation: Authorize the Executive Director of the Los Angeles County Development Authority to execute a contract with Emphasys Computer Solutions, Inc. to provide Internet-Based Housing Database Website Services for the Los Angeles County Development Authority (LACDA) for a five-year term, with a maximum contract sum not to exceed $1,783,764.90, comprised of: $1,599,166.18 for ongoing support; and $184,598.72 for Pool Dollars for additional services as needed, with Pool Dollar expenditures to be authorized through issuance of change notices and/or amendments, as applicable. Authorize the Executive Director to execute amendments to the contract to: add, delete, and/or change certain terms and conditions as mandated by Federal, State, or local law or regulations, or as required by the Board and/or Executive Director, which are not part of the Statement of Work (SOW); internally reallocate funds between budget pools within the contract; approve assignment and delegation of the contract, resulting from acquisitions, mergers, or other changes in ownership; terminate the contract for convenience, if necessary; and make changes to the SOW as operationally necessary. Authorize deviations from LACDA standard provisions, including the indemnification provision when entering into this contract, subject to prior review by the Executive Director.
